            All Hajj Group Organizers.

Subject:-          NOC FOR CHANGE OF CHIEF EXECUTIVE AND ADDRESS/LOCATION OF THE COMPANY

                        I am directed to refer to the above subject and to state that it has been decided by the competent authority to change procedure for change of  Chief Executive/Director, and address/location of the Hajj Group Organizers/Companies. The following procedures for change of Chief Executive, Director and address/location of the Company will be adopted by the HGO in future:

Procedure for change of Chief Executive:

Ø Chief Executive of the Company will obtain NOC from the Ministry before applying for change in Securities and Exchange Commission of Pakistan subject to cogent reasons supported with documentary proofs:

Ø Out going Chief Executive of the Company should forward a letter, on his letter head, to the Ministry alongwith following documents: -

i. Consent/resignation of out going Chief Executive, on the stamp paper of worth Rs.20/- duly attested by Notary Public.

ii. Consent of new the Chief Executive for appointment as Chief Executive of the company on the stamp paper of worth Rs.20/- duly attested by Notary Public.

iii. Attested photocopies of CNICs of both Chief Executives.

iv. Form-29 duly attested by the SECP, in original.

v. NOC of Ministry of Religious Affairs.

vi. In case of death of Chief Executive, the Director of the Company will submit request for change of Chief Executive.

Ø This change will be affected after issuance of notification of this Ministry.  No. change will be allowed during Hajj season.

2: Procedure for Change/appointment of Director of the Company.

· Chief Executive of the Company will request this Ministry, on his original letter head, for this  change along with following documents: -

I. Consent of new director for appointment as Director of the company on the stamp paper of worth Rs.10/- duly attested by Notary Public.

II. Resignation/consent of out going Director (if any) for relinquishing the company on the stamp paper of worth Rs.10/- duly attested by Notary Public.

III. Attested photocopy of CNIC of incumbent director.

IV. Form-29 duly attested by the SECP, in original.

· This change will be affected after issuance of notification of this Ministry.

3: Procedure for Change of address/location of the Company.

v Before applying to SECP for change of address, the HGO will obtain NOC from the Ministry subject to some cogent reasons alongwith its documentary proof.

v After obtaining Form-21 from SECP, the Chief Executive will forward the request, on his original letter head, with following documents: -

i. Undertaking on stamp paper of Rs.20/- duly attested by the Notary Public.

ii. Form-21 duly attested by the SECP in original.

iii. NOC of the Ministry.

v There would be ban on intra-city shifting of Company, however, hardship cases will be entertained on provision of cogent reasons and documentary proof.  No change will be allowed during the Hajj season.

4: Policy for infant/child for Hajj under Private Scheme .

It was also decided that HGO will charge 10% airfare for infant up to 2 years and for above two year he will charge actual airfare (charged after discount).
